Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Savi LoopIQ (the “Service”), operated by Lee Savage, Savage Management Holdings Inc. (“we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old and legally able to enter contracts. You are responsible for keeping your sign-in credentials confidential and for all activity under your account. If your account is provisioned by your employer or team administrator, that organisation controls your access and may remove it. Notify us immediately at security@savagetechnicalsolutions.com of any unauthorised use.
2. Subscription plans and billing
The Service is offered on the plans described on our pricing page, including a free Explorer tier and paid Education, Personal, Pro, Team, and Enterprise tiers when those tiers are activated. Paid fees are billed in advance by our payment processor, Stripe. Subscriptions auto-renew until cancelled. You can cancel at any time from the billing portal; cancellation normally takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law or where we explicitly approve a refund.
We may change pricing on 30 days' notice. If you do not accept the new pricing, your remedy is to cancel before the change takes effect. Plans include seat and usage limits; exceeding them may require an upgrade. We do not automatically move an Education user to Personal, Pro, Team, or another higher-priced plan because Education eligibility expires, is rejected, or is revoked.
2A. LoopIQ Education
Education is a verified, noncommercial educational-use tier for current students, educators, and registered apprentices. Eligibility may be verified using an approved institutional email domain or current supporting documentation. Approval lasts for up to 12 months and must be reverified annually. We may reject or immediately revoke verification if evidence is invalid, no longer current, obtained by misrepresentation, or the Education-use boundary is materially violated.
We generate expiration notices 30 and 7 days before the eligibility expiration date. Existing Education entitlement may continue for a 30-day grace period after eligibility expires, but new Education checkout requires active verification. If eligibility is not renewed by the end of the grace period, Education access is removed and we may cancel the Education subscription to prevent further renewals. Revocation removes Education entitlement immediately, even if a payment or subscription record remains active.
Education includes only the capabilities stated on the pricing page and Education FAQ, including the Learning Lab, bounded individual learning workflows, and the stated AI Instructor quota. Education does not include Pro, Team, production-connector, SSO/SCIM, or organizational features. Education may not be used for commercial or professional production work. Professional individual work requires Personal or Pro as applicable; organizational use requires Team or Enterprise as applicable.
3. Free trial
Where a plan is offered with a free trial, billing begins at the end of the trial unless you cancel before then. You may cancel during the trial at no charge. Education has no free trial.
4. Cancellation and account deletion are different
Cancelling a subscription stops future billing but leaves your account and data in place. Deleting your account removes your account and content as described in our Privacy Policy. To delete your account, use the account deletion page.
5. Acceptable use
You agree not to:
- Use the Service to violate any law, regulation, export control, or third-party right.
- Reverse-engineer, decompile, or attempt to derive source code, except where applicable law permits.
- Interfere with, disrupt, probe, or place undue load on the Service or its infrastructure.
- Upload malware, unlawful content, or data you do not have the right to share.
- Use the Service to build a competing product or service.
- Share an account or exceed your plan's seat count.
- Use the Service as an automated element of a live control, protection, or safety function.
6. Your content and data
You retain all rights to the trend files, bump tests, models, configurations, notes, and other material you submit (“Your Content”). You grant us a limited, worldwide, royalty-free licence to host, process, and transmit Your Content solely to operate the Service for you and for the people you share it with. You are responsible for having the right to upload Your Content, including any consent or clearance your employer or site owner requires.
We do not sell Your Content, and we do not use Your Content to train third-party AI models. See the Privacy Policy for how personal data is handled, and the Data Processing Addendum where you need one.
7. AI features
The AI Instructor and related features are powered by a third-party large language model provider. AI output is probabilistic, can be confidently wrong, and is not engineering advice. Do not rely on it without independent verification. See the AI Instructor Notice.
8. Third-party integrations and edge connectivity
The Service can connect to historians, OPC-UA servers, and Savi LoopIQ edge agents that you configure. You are responsible for the credentials, network paths, and site approvals those connections require, and for the third-party systems themselves — we do not control them and are not responsible for their availability, accuracy, or security. Data you route into the Service through a connector is treated as Your Content.
9. No live control, no writeback, no certification
Savi LoopIQ is decision-support and simulation software. In its current form:
- It does not write set-points, gains, or any other value into a production DCS, PLC, SCADA system, or field device. Applying any recommendation is a manual action you take under your own change-management process.
- Any device-write capability that exists in the product is disabled by default, restricted to owner-initiated, non-production test workflows, and subject to separate on-site interlocks. Nothing in these Terms authorises use of such a capability on a production loop.
- It is not certified, approved, or validated by any control-system vendor, standards body, or regulator, and it carries no functional-safety certification. It must not be used as, or as part of, a safety-instrumented function.
- Its outputs are recommendations derived from mathematical models. They are not engineering seals, professional engineering advice, or a substitute for a qualified engineer's review.
Do not use the Service where its failure or an incorrect output could cause injury, loss of life, environmental release, or major property damage without independent verification and appropriate protective layers.
10. Intellectual property
The Service, including its software, models, interface, documentation, and content, is owned by us or our licensors and protected by intellectual-property law. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service. All rights not expressly granted are reserved.
If you send us feedback or suggestions, we may use them without obligation or compensation to you.
11. Beta features
Features labelled “beta”, “preview”, or similar are provided for evaluation. They may be changed, deprecated, or removed at any time and may be less reliable than the general Service.
12. Termination
You may stop using the Service at any time by cancelling your subscription, and you may delete your account at any time. We may suspend or terminate your account for material breach of these Terms, non-payment, or conduct that creates legal or safety risk for us or other users. Except where we are terminating for abuse or are legally required to act sooner, we will give you a reasonable opportunity (at least 30 days) to export Your Content before we delete it.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR WILL PRODUCE SAFE, ACCURATE, OR OPTIMAL TUNING RESULTS FOR YOUR PROCESS.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, PRODUCTION, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) US$100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
15. Indemnification
You agree to defend, indemnify, and hold us harmless from any third-party claim arising from (i) your use of the Service, (ii) Your Content, (iii) your violation of these Terms, or (iv) your application of any output of the Service to physical equipment.
16. Governing law and disputes
These Terms are governed by the laws of the State of Nevada, USA, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction and venue there. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction. Where mandatory local consumer law gives you rights that cannot be waived, those rights are unaffected.
17. Changes to these Terms
We may update these Terms. Material changes will be notified by email or in-app notice at least 15 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
